Commercial, Technology, and Data Transactional Attorney (all offices)
We are a boutique internet and technology law firm based in Washington, D.C., with a wealth of high-tech clients ranging from early-stage start-ups to household names in the tech industry. We are seeking an attorney with at least 4 years of technology, and IP and data transactional experience to join our team.
This is a unique opportunity to help build out a growing transactions practice and work on cutting edge issues for very interesting clients, most of whom provide products or services in the areas of technology, data, entertainment, online services, gaming, and publishing. 

Our clients come to us not only to structure, draft and negotiate their commercial agreements but to help them think through the practical business and legal implications that arise from these transactions. We support a variety of nontraditional transactional needs, including transactions involving: 

  • Communications tools (such as one designed to improve doctor and medical staff engagement);
  • Location data, including transactions to acquire location datasets and representation of location data brokers in customer transactions;
  • Alternative data licensing to drive investment decisions of hedge funds and other financial institutions;
  • Health tech (like a client that analyzes anonymized mental health data to provide better outcomes for patients); 
  • Aggregate data rights and licensing (such as developing customer agreements for an aggregator of art-related data that is building a consumer-facing business);
  • Online marketplaces and other business-to-business-to-consumer platforms (such as an online event booking and ticketing platform);
  • AI providers of every shape and size, from the biggest large-language models to specialized products, like one that analyzes data from the grid edge to help utilities be more energy efficient

If you built your practice at a big firm you might work with similar clients but most likely  you would spend most of your time helping your clients procure these companies’ services. At ZwillGen, you’ll have the opportunity to learn about these companies from the sell side by partnering with them to help shape some of today’s most innovative new businesses.

The position requires a highly motivated, forward-thinking individual with the ability to work collaboratively as part of a team in a fast-paced legal environment. Strong drafting skills are a must. Although we achieve national accolades (e.g., Law360’s recent Practice Groups of the Year for Privacy and Consumer Protection), we’re not BigLaw: we want attorneys who share our creative and efficient team-oriented approach to clients’ needs, and who can serve as a valued strategic counselor — not simply bill hours. In-house experience is valued; part-time schedules may be accommodated for the right candidate; more experienced attorneys are valued and welcome.

Essential Job Functions
You must be able to thoughtfully draft and negotiate every component of a typical SaaS agreement, including its IP provisions and its data protection addendum.  But as you can see from the sampling of our clients above, the position involves much more than that. The ideal candidate will have skillfully worked with clients in many of the following areas: 

  • Analyzing, drafting and counseling on a variety of technology/IP transactions, such as those involving the assignment, licensing, and development of technology/IP, distribution of products, and provision of services
  • Drafting and negotiating data licensing agreements
  • Counseling on the implications of AI, particularly with respect to licensing data and
    intellectual property
  • Drafting, reviewing and negotiating complex IP and technology licensing, outsourcing and services agreements
  • Drafting and negotiating agreements with sophisticated data privacy and security implications
  • Solving legal problems relating to new and emerging technologies
  • Drafting first-of-a-kind, complex documents and unique agreements without reliance on forms
  • Leading negotiations on a wide range of agreements across multiple business verticals

You must also demonstrate the potential to independently manage projects, interact with clients, and work effectively as a team member. 

Candidates should write and communicate well, be able to think strategically and assess risks, and be comfortable working under tight deadlines that start-up clients sometimes impose.  

Location
This hybrid position is available in any of our four offices: Washington D.C., New York, San Francisco, and Chicago. Eligible candidates must be barred in the jurisdiction from which they will work. 

Salary & Application
